Course overview:

This seminar offers an in-depth exploration of contemporary legal challenges in international contract law, with a strong emphasis on practical application and real-case analysis.

By the end of the seminar, participants will: Understand the key legal principles governing international contracts across different legal systems (Common Law, Civil Law, CIS). Gain hands-on experience through case studies based on real cross-jurisdictional commercial transactions. Be able to identify and resolve key legal issues arising in international agreements. Recognise and apply doctrines such as force-majeure, misrepresentation, contract performance, and liability clauses.

  • Case study: analyse a learning task based on a real commercial transaction in relation to several jurisdictions - England, Switzerland, Hong Kong, France and Kazakhstan.
  • Brief analyses of the sources, history, concepts, influences, and system of law in continental Europe.

Oleg Kuts

In 2014. Oleg completed a three-year specialised LPC training at The University of Law, London. In 2011, he obtained a Master's degree in Law from UCL (University of London), as well as graduated from the Faculty of Law of the Belarusian State University in 1995 and the Faculty of Foreign Languages of the Moscow Mossovet Academy in 1987. Since January 2013, Oleg has been working at KK & Partners (UK) ltd. as a managing partner and specialises in international M&A, corporate finance, international tax planning and restructuring, transcontinental trusts, foundations and their hybrids. Oleg has worked for Dan Group and Kazakhmys PLC specialising in international M&A, corporate finance and governance, international investments and corporate restructuring. From 2003 to 2005, Oleg worked at Deutsche Bank (DB) in London, where he advised on the legal aspects of international finance, securities and debt investment, including syndicated loans, IPOs and FSA and UKLA regulatory compliance. Prior to joining DB, from 1990 to 2003, Oleg worked as Managing Partner at Kuts & Sons Ltd. specialising in international M&A, financial planning, structuring of holdings and transactions involving various financial instruments, international arbitration, off-shore regulation and debt restructuring. Oleg is a current member and arbitrator of the Chartered Institute of Arbitrators (CIArb) in London and has extensive practical experience (over 20 years) in international arbitration, Ad Hoc proceedings and commercial negotiations.
